Acceptable Use Policy
QONTROL
Articule, a simplified joint-stock company (société par actions simplifiée), registered with the Paris Trade and Companies Registry under number 843 409 954 and having its registered office at 231 rue Saint-Honoré, 75001 Paris ("QONTROL"), provides access to the "Qontrol" platform via the website www.qontrol.io (the "Platform").
This acceptable use policy (the "AUP") governs all use of the Platform by users (the "User(s)") who have been individually designated by the client company that has subscribed to QONTROL's services in accordance with the terms of service (the "ToS") (the "Client").
QONTROL makes the AUP available on the Platform, it being understood that the AUP may be amended at any time.
1. Acceptance of the AUP by the User
In order to access the Platform, every User must accept the AUP, which the User acknowledges and accepts.
The ToS subscribed to by the Client are available on the Terms of Service page. In the event of a conflict between the ToS and the AUP, the ToS shall prevail.
The User may also have obtained login credentials for the Platform through a third-party provider to QONTROL, who must also communicate its content to the User.
2. Purpose of the Platform
The User acknowledges that the Platform is exclusively reserved for use by professionals within the meaning of the preliminary article of the French Consumer Code. The Platform developed by QONTROL is designed to assist the User and/or the Client in deploying their cybersecurity strategy.
The User, and where applicable the Client, are solely responsible for the choices, uses, and interpretations they make of the documentation provided through the Platform.
3. Access to the Platform
User accounts are created by the Client who has subscribed to the Subscription for the Platform. The User is solely responsible for the security of their credentials and, as such, is responsible for any loss, theft, misappropriation, or unauthorized use of the credentials by a third party and the consequences thereof, including non-compliant use of the Platform.
The User understands that their credentials are personal and confidential and shall not grant access to the Platform, directly or indirectly, to any third party.
Any access made using the User's credentials shall be deemed to have been made by the User. The User must inform QONTROL without delay if they become aware that their access has been used without their knowledge. The User acknowledges QONTROL's right to take all appropriate measures in such cases, including the right to suspend access to the Platform.
4. Prohibited uses
The User undertakes to use the Platform in accordance with its intended purpose and shall refrain from:
- attempting to access data, accounts, or features to which the User has not been authorized to access;
- carrying out any reverse engineering, decompilation, disassembly, or attempt to reconstruct the source code of the Platform;
- introducing viruses, malware, or any other harmful code onto the Platform;
- using the Platform for unlawful purposes or purposes contrary to public policy;
- attempting to circumvent security measures implemented by QONTROL;
- using robots, scripts, or any other automated means to access the Platform or extract data from it, without the prior written authorization of QONTROL.
Any breach of these obligations may result in the immediate suspension or termination of the User's access to the Platform, without prejudice to any legal action by QONTROL.
5. Intellectual property
QONTROL provides, among other things, a database protectable as such by intellectual property rights under Articles L.112-1 et seq. and L.341-1 et seq. of the French Intellectual Property Code. Only the rights specifically mentioned in the AUP are granted to the User. In particular, QONTROL holds intellectual property rights over the Platform as a database, over the code, algorithms, updates, and related documentation.
The graphical elements, trademarks, the Platform, and associated documentation, also protectable under applicable French intellectual property laws, remain the property of QONTROL and may not be reproduced, represented, or have data extracted in whole or in part and/or transferred to another medium.
Access to the Platform confers only a non-exclusive, non-transferable license of use to the User, solely during the validity of the Subscription taken out by the Client.
Documents uploaded by the User remain the property of the User or of the Client. QONTROL has only the right to use uploaded documents in order to deliver the services associated with the Platform.
QONTROL and the User are each the sole and exclusive owners of the rights to their respective names, trademarks, and logos.
6. Artificial intelligence
The Platform may integrate features using artificial intelligence technologies (the "AI Features"). The activation of these features is decided by the Client in the Platform settings, in accordance with the ToS.
The results produced by the AI Features are provided for informational purposes only. The User is solely responsible for the interpretation and use of these results. QONTROL does not guarantee their accuracy, completeness, or relevance.
7. Security
QONTROL implements the security measures necessary to enable the User to navigate the Platform, as well as all technical means, in accordance with the state of the art, necessary to ensure the security of and access to the Platform.
The servers hosting the Platform are located within the European Union.
QONTROL implements appropriate physical, technical, IT, cryptographic, and organizational measures to ensure the security and confidentiality of the Platform and all data contained therein.
QONTROL reserves the right to immediately suspend access to the Platform without notice in the event of force majeure, attempted intrusion, or breach of the Platform's security.
8. Personal data
QONTROL undertakes to comply with applicable personal data protection regulations, including French Law No. 78-17 of January 6, 1978, on Information Technology, Data Files and Civil Liberties, and Regulation (EU) 2016/679 of the European Parliament and of the Council of April 27, 2016, on the protection of natural persons with regard to the processing of personal data and on the free movement of such data.
This AUP is supplemented by the "Personal Data Protection Policy" detailing the rights of data subjects, QONTROL's obligations, and all information relating to the processing of personal data, available on the Personal Data Protection Policy page.
9. Confidentiality
The User undertakes not to disclose any information or data to which they have access through the Platform, whether it pertains to the Client, other Users, or QONTROL, unless expressly authorized by the Client or QONTROL, as applicable.
This confidentiality obligation shall remain in effect for the entire duration of the User's use of the Platform and for a period of two (2) years from the deletion of the User's account.
10. Governing law and jurisdiction
The AUP is governed by French law, to the exclusion of conflict of laws rules.
Any dispute relating to the interpretation or performance of the AUP shall be submitted to the competent court in Paris.
